1. Acceptance of Terms

By creating an account or using SimpleChex (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. What SimpleChex provides

SimpleChex is a software-as-a-service platform for generating, printing, and emailing business checks. We render PDF documents containing data you provide (payee, amount, date, memo, bank account information) along with MICR-encoded routing and account numbers in the standard E-13B font used by US banks.

SimpleChex does NOT:

  • Hold, transmit, or process funds on your behalf
  • Act as a bank, money transmitter, payment processor, or financial institution
  • Guarantee that any check issued through the Service will clear, be honored, or have sufficient funds
  • Verify the accuracy of bank account, routing, or payee information you enter

Funds clear through your existing bank relationship using the check you print. You are responsible for ensuring sufficient balance in the bank account associated with each check.

3. Your account and responsibilities

You must be at least 18 years old and authorized to act on behalf of any business whose checks you write through the Service. You are responsible for:

  • Accuracy of all bank account, routing, payee, and amount information you enter
  • Maintaining the security of your account password and limiting access to your team
  • All checks issued from your account, including those issued by team members you invite
  • Complying with all applicable laws when issuing checks (anti-fraud, anti-money-laundering, payee-disclosure, etc.)
  • Properly voiding any check you do not intend to issue

4. Acceptable use

You may not use SimpleChex to:

  • Issue checks against bank accounts you do not own or are not authorized to draw from
  • Issue checks you know or should know will not be honored due to insufficient funds (this is a crime in most US states)
  • Impersonate another person or business
  • Engage in money laundering, fraud, structuring transactions to evade reporting, or any other illegal activity
  • Reverse engineer, scrape, or attempt to extract source code from the Service
  • Resell or sublicense the Service without our written permission

We may suspend or terminate your account at any time for violations of these Terms or applicable law, with or without notice.

5. Subscription, billing, and refunds

The Service offers three plans: Free, Solo ($5/month), and Firm ($19/month, +$2/month per business above 10). Pricing may change with 30 days' notice for existing paid subscribers.

  • Billing: Paid plans are billed monthly in advance through Stripe. Your card is charged on the same day each month relative to your initial subscription date.
  • Cancellation: You may cancel anytime from Settings → Billing. Cancellation takes effect at the end of the current billing period. You retain paid-plan features until then.
  • Refunds: We do not offer prorated refunds for partial-month cancellations. Refunds for service outages or billing errors are at our sole discretion. Email support@simplechex.com to request one.
  • Failed payments: If your card declines, your subscription enters a grace period of up to 7 days. After 7 days of failed payment, your account drops to the Free plan automatically.

6. Data and content

You retain ownership of all data you enter into the Service (“Your Data”), including bank account information, payee lists, check history, and uploaded signatures. By using the Service, you grant SimpleChex a limited license to host, process, transmit, and display Your Data solely for the purpose of providing the Service to you.

We do not sell, rent, or share Your Data with third parties except as required to operate the Service (e.g., Stripe for billing, Resend for transactional email) or as required by law.

You may export your check history at any time from the Service. Upon account deletion, we delete Your Data within 30 days, except where retention is required by law (e.g., financial-records retention for our tax purposes).

7. Service availability and warranties

The Service is provided “as is” and “as available.” We make commercially reasonable efforts to maintain uptime but do not guarantee any specific availability percentage. The Service may experience downtime for maintenance, updates, or unforeseen issues.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, SimpleChex shall not be liable for:

  • Any check that fails to clear due to insufficient funds, incorrect bank account information, or actions of your bank
  • Any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Service
  • Loss of revenue, profits, business, goodwill, data, or savings
  • Any damages exceeding the amount you paid us in fees during the twelve (12) months preceding the claim, or $100, whichever is greater

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. The limitations above apply to the maximum extent permitted by your jurisdiction.

9. Indemnification

You agree to indemnify and hold SimpleChex harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Any check you issue through the Service
  • Your violation of these Terms or applicable law
  • Any dispute between you and a payee, your bank, or any third party

10. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. Material changes will be communicated by email to your account email address at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

11. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
